General Terms and Conditions

These General Terms and Conditions ("Terms") govern the use of all services provided by Agensi Pekerjaan AsiaPacTalents Sdn Bhd ("Provider"), including but not limited to recruitment, hiring, automation tools, and consultancy. By accessing or using any of the Provider's services listed on hiring.asiapactalents.com ("Website"), the client ("Client") acknowledges and agrees to be bound by these Terms.

1. Acceptance of Terms

By using the Provider's services, the Client agrees to these Terms in full. If the Client does not agree, they must immediately cease using the Provider's services.

• The Terms are subject to amendment by the Provider at its sole discretion without prior individual notice. Changes will be published on the Website and become effective immediately.

• Continued use of the Provider's services constitutes the Client's acceptance of the amended Terms.

2. Services Covered

The Terms apply to all services offered by the Provider, including but not limited to:

• Recruitment and Hiring Solutions (e.g., Talent Bank Search, Automated Hiring Consultancy).

• Automation Tools (e.g., WhatsApp Job Group Blasting, WhatsApp Chat Bot Messenger).

• Marketing and Bespoke Presenters.

• Other business consultancy or technology services.

The scope of services provided will be determined based on the Client's requests, as outlined in service-specific agreements or communications.

3. Intellectual Property Rights

a. All content, software, tools, technologies, methodologies, and intellectual property provided or used by the Provider remain the exclusive property of the Provider.
b. The Client is granted a non-transferable, non-exclusive, and revocable license to use the Provider's services solely for the purposes agreed upon.
c. All information, candidate profiles, data, reports, or recommendations provided by the Provider are the Provider's property and must not be reproduced, redistributed, or used for purposes outside the intended scope without prior written consent.
d. The Provider reserves the right to revoke access to services or terminate usage if misuse, unauthorized reproduction, or redistribution is detected.

4. Client Obligations

The Client agrees to:
a. Use the Provider's services only for lawful purposes in compliance with all applicable laws and regulations, including but not limited to privacy and employment laws.
b. Provide accurate and truthful information when using the Provider's services (e.g., job details, company information).
c. Refrain from introducing malware, viruses, or other harmful elements into the Provider's systems.
d. Maintain the confidentiality of information obtained through the Provider's services and not share or sell candidate data or proprietary information.

5. Data Privacy and Compliance

a. The Client agrees to handle any data (e.g., candidate information) obtained through the Provider’s services in compliance with applicable privacy and data protection laws, including Malaysia's PDPA and similar laws in other jurisdictions.
b. Candidate data provided by the Provider must only be used for genuine recruitment purposes and must not be shared with third parties without explicit written consent or legal authority.
c. The Provider will not be liable for any misuse of data by the Client or unauthorized access caused by the Client's failure to maintain security controls.

6. Provider’s Rights and Limitations

a. The Provider does not guarantee successful recruitment, specific results, or timeframes for service delivery.
b. The Provider reserves the right to modify, suspend, or terminate services at its sole discretion without prior notice if the Client breaches these Terms or engages in misuse of services.
c. The Provider retains the prerogative to manage all information, data, and materials provided during the course of the Client’s use of services.
d. The Provider may terminate access to services for any Client at its sole discretion without liability.

7. Payment and Fees

a. Payment terms for services will be outlined in specific agreements or invoices.
b. All payments must be made within the stipulated timeframe. Failure to pay may result in suspension or termination of services.
c. Refunds, if applicable, will be handled at the sole discretion of the Provider and only for unused services, subject to evaluation.

8. Termination of Services

The Provider reserves the right to terminate this agreement or access to services:
a. At its sole discretion and at any time, with or without cause, by providing written notice to the Client.
b. Immediately, without notice, if the Client violates any provision of these Terms.
Upon termination, all fees for completed services must be settled, and the Client must cease using any data or materials provided by the Provider.

9. Disclaimer of Warranties

a. The Provider’s services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.
b. The Provider does not guarantee uninterrupted service, freedom from errors, or specific results.

10. Limitation of Liability

a. The Provider shall not be liable for indirect, incidental, special, or consequential damages arising from the Client's use of the services.
b. The Provider's total liability for direct damages shall not exceed the total fees paid by the Client in the 3 months preceding the claim.

11. Indemnity

The Client agrees to indemnify and hold the Provider harmless from any claims, damages, or liabilities arising from:
a. The Client’s misuse of services.
b. Breach of these Terms.
c. Violation of applicable laws.

12. Miscellaneous

a. These Terms shall be governed by the laws of Malaysia.
b. Disputes shall be resolved through arbitration in Malaysia under the applicable arbitration rules.
c. The failure of the Provider to enforce any provision of these Terms shall not constitute a waiver of such provision.
d. These Terms constitute the entire agreement between the Provider and the Client regarding the use of services.
